Agreement

These Terms of Service govern access to and use of the NextGen LIS platform.

By using our software, customers agree to these terms and any applicable licensing or service agreements executed between the parties.

Platform Access

NextGen LIS provides enterprise software designed for:

  • Molecular diagnostics laboratories
  • Precision medicine organizations
  • Clinical laboratories
  • Research institutions
  • Academic laboratories
  • Pharmaceutical organizations
  • Biotechnology companies

Access is provided under subscription and licensing agreements.

Customer Responsibilities

Customers agree to:

  • Maintain accurate account information
  • Protect login credentials
  • Configure appropriate user permissions
  • Comply with applicable healthcare regulations
  • Maintain lawful use of the platform
  • Protect patient confidentiality

Software License

Customers receive a limited, non-transferable license to use NextGen LIS during the active subscription period.

Ownership of the software, source code, trademarks, and intellectual property remains exclusively with NextGen LIS unless otherwise agreed in writing.

Subscription & Fees

Platform access may include:

  • Initial implementation fees
  • Configuration services
  • Data migration
  • User training
  • Monthly licensing
  • Enterprise support
  • Optional professional services

Billing terms are governed by executed customer agreements.

Security

NextGen LIS maintains security controls designed to support regulated laboratory environments.

Customers remain responsible for managing authorized users, maintaining password security, and following organizational security policies.

Availability

We strive to provide reliable, enterprise-grade platform availability and continuous improvements.

Scheduled maintenance windows may occur periodically to enhance performance, security, and functionality.

Intellectual Property

All software, documentation, designs, trademarks, branding, workflows, user interfaces, and technology remain the exclusive intellectual property of NextGen LIS.

Customers retain ownership of all laboratory and operational data stored within the platform.

Limitation of Liability

To the fullest extent permitted by law, NextGen LIS shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the platform.

Specific liability limitations are governed by executed customer agreements.

Governing Agreements

Enterprise customers may also execute additional agreements, including:

  • Master Services Agreement (MSA)
  • Software License Agreement
  • Data Processing Addendum (DPA)
  • Business Associate Agreement (BAA), where applicable
  • Service Level Agreement (SLA)

When applicable, these agreements supersede these general Terms of Service.
